Role Overview
We are looking for a highly competent and qualified Company Secretary to lead our corporate governance, secretarial, and regulatory compliance functions.
The ideal candidate must have:
- Successfully qualified as a Company Secretary (CS).
- A valid Certificate of Practice/authorization enabling them to sign as Company Secretary.
- Their name must not be associated as a signing Company Secretary with any other organization.
- Hands-on experience in managing SME IPO, listing, and post-listing compliances.
- Minimum 2 years of practical experience as this is required by the exchange
This role offers a unique opportunity to work closely with the leadership team and play a strategic role in supporting the company’s IPO and corporate governance journey.
Mandatory Eligibility Criteria
Candidates will be considered only if they:
- Have successfully cleared the Company Secretary (CS) qualification from Institute of Company Secretaries of India.
- Are legally authorized to sign as Company Secretary/Compliance Officer.
- Are not currently associated as a signing Company Secretary with any other company.
- Have handled SME IPO or Main Board IPO compliances.
- Possess at least 2 years of hands-on experience in listing and post-listing compliances.
- Located in Noida/ Delhi or Hyderabad. In rare cases with lesser package can look at remote with periodic travel.
Key Responsibilities
Corporate Secretarial & Governance
- Conduct Board Meetings, Committee Meetings, AGMs, and EGMs.
- Prepare agendas, notices, resolutions, and minutes.
- Maintain statutory registers, records, and secretarial documentation.
- Ensure compliance under the Companies Act, 2013 and Secretarial Standards.
IPO & Listing Compliance
- Own end-to-end SME IPO and listing-related compliances.
- Coordinate with merchant bankers, registrars, legal counsels, auditors, and stock exchanges.
- Handle due diligence, DRHP/RHP documentation support, and listing applications.
- Ensure post-listing compliance with stock exchange and securities regulations.
Regulatory Compliance
- Oversee all filings with the Registrar of Companies, stock exchanges, and other authorities.
- Ensure compliance with applicable laws and regulations.
- Monitor regulatory updates and advise management on implications.
Risk Management & Audit Support
- Identify compliance gaps and implement corrective actions.
- Support internal and statutory audits.
- Develop and strengthen compliance frameworks and SOPs.
Stakeholder Management
- Serve as the primary liaison with regulators, legal advisors, and external consultants.
- Advise management and Board members on governance and regulatory matters.
Required Skills & Expertise
- Strong working knowledge of:
- Companies Act, 2013
- SEBI Regulations
- SME IPO Regulations
- Listing Obligations and Disclosure Requirements (LODR)
- Experience with stock exchange filings and corporate actions.
- Excellent drafting, documentation, and communication skills.
- High attention to detail, integrity, and confidentiality.
- Ability to work independently in a fast-paced, high-growth environment.
Preferred Experience
Candidates with prior experience in:
- SME IPO or Main Board IPO execution.
- Listed companies.
- Investor relations and corporate actions.
