Job Title: Legal & Company Secretary

We are seeking a highly skilled and detail-oriented
Legal & Company Secretary to join our team at Justo Realfintech. The ideal candidate will be responsible for handling a broad range of legal matters including reviewing, drafting, and vetting of contracts and agreements, along with managing all secretarial compliances. This role will ensure the company’s adherence to legal obligations while supporting corporate governance requirements.
Key Responsibilities
Legal Responsibilities:
- Term Sheets: Review, draft, and standardize term sheets with developers.
- Contract Drafting & Vetting: Draft, review, and vet commercial contracts/agreements with third party vendors including Business Development contracts, Tele-calling contracts, consultancy contracts, etc.
- Shareholder Agreements: Review and vet shareholders' agreements, securities, and subscription agreements.
- Legal Notices: Respond to notices received from developers, vendors, and employees.
Secretarial Responsibilities
- Board and General Meetings:
- Prepare the agenda for Board Meetings (BM), Extraordinary General Meetings (EGM), and Annual General Meetings (AGM).
- Draft and circulate Board Resolutions for various purposes.
- Draft, finalize, and circulate Minutes of the Meetings.
- Documentation & Filings:
- Maintain documentation for BM, EGM, and AGM.
- Prepare and file the Board Report. o Ensure timely ROC filings and handle documentation related to the same.
- Maintain and regularly update the Minutes Book.
- Compliance & CSR:
- Ensure compliance with Company Law provisions.
- Handle Corporate Social Responsibility (CSR) compliance and documentation.
Required Skills
- Strong understanding of commercial law and corporate governance.
- Ability to draft clear, precise, and legally sound agreements and resolutions.
- Excellent communication skills to interact with stakeholders, including developers, vendors, and regulatory authorities.
- Sound knowledge of ROC filings, secretarial work, and other statutory compliances.
- Proactive, organized, and detail-oriented with the ability to manage multiple tasks.
Preferred Skills
- Prior experience in the real estate sector is a plus.
- Knowledge of compliance in CSR and related filings.
