Job Description – Company Secretary & Legal Counsel.
Key Responsibilities :
Corporate Governance & Secretarial Responsibilities
- Manage compliance under the Companies Act, including statutory filings, annual returns, resolutions, and maintenance of statutory registers.
- Coordinate Board Meetings, Committee Meetings, and General Meetings, including preparation of agendas, notices, minutes, and follow-ups.
- Oversee statutory documentation relating to incorporation, share capital, and corporate actions.
- Advise Board and senior management on governance requirements and regulatory developments.
Legal Counsel & Contract Management
- Draft, review, and negotiate customer and vendor contracts, NDAs, MoUs, service agreements, lease agreements, and commercial documentation.
- Ensure legal compliance and commercial protection in all contractual engagements.
- Maintain a centralized contract repository and renewal tracker.
- Provide legal advisory support to internal stakeholders on operational, commercial, and regulatory matters.
Compliance under Other Applicable Laws
- Ensure compliance with FEMA, Labour Laws, Shops & Establishments, Industrial Disputes Act, and other regulatory requirements.
- Monitor changes in legislation and implement necessary internal updates.
- Coordinate with external counsel for disputes, legal notices, or litigation follow-up.
- Support compliance under the Depositories Act, data protection norms, and environmental/legal frameworks.
Integrated Management System (IMS)
- Ensure compliance with IMS requirements (ISO 9001:2015, ISO 14001:2015, ISO 45001:2018) related to legal and contractual processes.
Other Legal & Governance Duties.
- Advise senior leadership on business policies, risk management, compliance strategies, and corporate governance standards.
- Maintain communication with regulatory authorities, auditors, consultants, and external legal partners.
- Contribute to policy development relating to compliance, governance, risk, and ethics.
Qualifications and Experience:
- Qualified Company Secretary with LLB preferred.
- 2–5 years of experience across company secretarial, legal advisory, and contract management functions.
- Strong knowledge of the Companies Act, FEMA, Labour Laws, Contract Law, and corporate governance frameworks.
- Experience in drafting and negotiating commercial contracts with customers and vendors. Excellent communication, legal drafting, and stakeholder management skills.
- Proficiency in MS Office, legal documentation tools, and compliance systems.
