Experience: Minimum 5 years experience as a Company secretary in a listed Company.
CTC: Maximum gross up to 25 LPA
Willing to relocate to Coimbatore
Job Summary
We are seeking an experienced and proactive Company Secretary to join our Secretarial Department within the Legal & Compliance function. This role is critical to ensuring adherence to corporate governance standards, statutory regulations, and compliance requirements.
The ideal candidate will support the Board of Directors and senior management by overseeing governance practices, ensuring regulatory compliance, and facilitating effective communication with stakeholders and regulatory authorities.
Key Responsibilities
- Ensure compliance with all applicable statutory, legal, and regulatory requirements
- Maintain statutory registers, records, and filings, including documentation related to Board and Committee meetings
- Draft, review, and file legal documents such as resolutions, minutes, and notices
- Plan, schedule, and coordinate Board Meetings and Annual General Meetings (AGMs), including agenda preparation and accurate minute-taking
- Uphold and promote strong corporate governance practices across the organization
- Manage shareholder relations and address queries in a timely and professional manner
- Oversee share transfers, dividend distributions, and maintenance of share registers
- Support risk management initiatives and ensure adherence to ethical standards and compliance frameworks
- Liaise with internal and external auditors and manage audit-related activities
- Monitor changes in corporate laws and regulations, ensuring organizational compliance
- Handle sensitive and confidential information with integrity and discretion
- Follow up on legal matters, including court cases, and coordinate with legal counsel/advocates
- Collaborate with the Finance team and auditors on income tax filings and related compliance.
Skills & Competencies
- Strong knowledge of corporate laws, including the Companies Act
- Expertise in corporate governance practices
- Excellent verbal and written communication skills
- Proficiency in drafting minutes, reports, and resolutions
- High level of accuracy in handling legal documents, filings, and statutory records
- Strong organizational skills with the ability to manage Board meetings, AGMs, and statutory deadlines effectively
Experience
- Minimum 10+ years of relevant experience as a Company secretary in any Listed company
