Job Title: Company Secretary
Location: Electronic City, Bangalore
Reporting To: Managing Director / Board of Directors
Industry: Manufacturing (Solar Components & Cable Manufacturing)
Role Overview
The Company Secretary will act as a key governance professional responsible for ensuring statutory, regulatory, and corporate compliance. The role involves advising the Board on corporate laws, managing secretarial functions, and supporting strategic decision-making while ensuring adherence to applicable laws and governance standards.
Key Responsibilities
1. Corporate Governance & Board Management
Organize and manage Board Meetings, Committee Meetings, and General Meetings.
Draft agendas, notices, resolutions, and minutes in compliance with applicable laws.
Advise the Board on corporate governance best practices.
Ensure implementation of Board decisions and maintain proper documentation.
2. Secretarial & Legal Compliance
Ensure compliance with the Companies Act, SEBI regulations (if applicable), FEMA,
and other statutory requirements.
Maintain statutory registers, records, and filings with ROC and other authorities.
Handle annual filings, event-based filings, and secretarial audits.
Monitor changes in regulatory laws impacting manufacturing, renewable energy, and
industrial sectors.
3. Regulatory & Licensing Support
Coordinate for licenses, approvals, and registrations related to manufacturing, solar
business, and industrial operations.
Liaise with government authorities, regulators, and external consultants.
Support compliance under environmental laws, factory laws, and industry-specific
regulations.
4. Group Structuring & Transactions
Assist in group restructuring, joint ventures, investments, and fund-raising activities.
Support M&A transactions, due diligence, and documentation.
Ensure proper corporate structuring aligned with business expansion plans.
5. Compliance Management System
Develop and implement a compliance tracking framework across all group entities.
Conduct periodic compliance reviews and risk assessments.
Report compliance status to senior management and Board.
6. Stakeholder & Investor Interface
Act as a point of contact for shareholders, investors, and regulatory bodies.
Handle investor communication and documentation (if applicable).
Support in maintaining transparency and corporate disclosures.
7. Advisory Role
Provide legal and governance advice to management on strategic decisions.
Interpret regulatory changes and recommend actionable steps.
Ensure ethical business practices and compliance culture across the organization.
Qualifications & Experience
Qualified Company Secretary (Member of ICSI).
0–3 years of relevant experience (preferably in manufacturing / infrastructure /
renewable energy sectors).
Strong knowledge of Companies Act, FEMA, SEBI (if applicable), and industrial
regulations.
Experience in handling group companies and multi-entity structures is preferred.
