Job Title: Company Secretary & Compliance Officer (SME IPO)

Role Overview
We are looking for a qualified Company Secretary (CS) to join a fast-growing digital/product company preparing for an SME IPO. The role will act as a Key Managerial Personnel (KMP), responsible for end-to-end corporate governance, secretarial compliance, capital market regulations, and post-listing compliance.
You will work closely with Promoters, Board of Directors, CFO, Merchant Bankers, Legal Advisors, RTA, and Stock Exchanges to ensure smooth IPO execution and robust governance thereafter.
Key Responsibilities
Pre-IPO & IPO Execution
- Lead secretarial due diligence and IPO readiness activities.
- Coordinate with merchant bankers, legal counsel, auditors, RTA, stock exchanges, and depositories.
- Prepare and manage DRHP/RHP/Prospectus disclosures from a governance standpoint.
- Draft, review, and implement corporate governance policies (Insider Trading, Code of Conduct, RPT, Risk, Whistleblower, etc.).
- Ensure timely Board, Committee, and Shareholder meetings (agenda, minutes, resolutions).
- Handle ROC, SEBI, and Exchange filings related to IPO and listing.
- Support capital structuring activities (capital increase, ESOPs, MOA/AOA amendments).
Post-IPO (Listed SME)
- Act as Company Secretary & Compliance Officer for the listed entity.
- Ensure compliance with SEBI LODR, PIT, ICDR (as applicable to SME) and Companies Act, 2013.
- Manage periodic & event-based disclosures to stock exchanges.
- Handle investor relations, shareholder grievances, and coordination with RTA.
- Maintain statutory registers, annual filings, and secretarial standards compliance.
- Support corporate actions such as bonus, rights, preferential issues, ESOPs, etc.
Qualifications & Experience
- Qualified Company Secretary (ICSI member in good standing).
- 3–6 years of post-qualification experience.
- Prior exposure to IPO / SME listing/capital markets is mandatory (industry or CA/CS firm).
- Strong working knowledge of:
- Companies Act, 2013
- SEBI LODR, ICDR, PIT regulations
- SME exchange listing norms
- FEMA & allied corporate laws
