Role Overview
We are seeking a highly detail-oriented and proactive Company Secretary / Compliance Officer to lead corporate governance and ensure end-to-end regulatory compliance. This role is critical in maintaining legal integrity, supporting strategic initiatives, and ensuring adherence to evolving regulatory frameworks.
Key Responsibilities
Corporate Governance
- Ensure compliance with Companies Act, SEBI regulations, and other applicable laws
- Maintain statutory registers, records, and timely regulatory filings
- Organize Board Meetings, AGMs, and committee meetings, including agenda preparation and minute recording
Compliance & Regulatory Management
- Develop and implement robust compliance policies and frameworks
- Track regulatory updates and ensure organization-wide adherence
- Act as the primary liaison with regulatory authorities for filings, disclosures, and documentation
Listing & SME IPO Compliance
- Ensure adherence to SME IPO listing regulations and post-listing compliances
- Coordinate with stock exchanges, regulators, and legal advisors
- Advise leadership on corporate actions, shareholder matters, and regulatory implications
Risk & Audit
- Identify compliance risks and implement mitigation strategies
- Conduct internal audits and periodic compliance reviews
- Report insights and recommendations to senior management
Training & Awareness
- Conduct compliance training sessions across teams
- Promote a strong culture of governance, ethics, and regulatory discipline
Qualifications
- Bachelor’s degree in Law, Finance, Business Administration, or related field
- Mandatory: Qualified Company Secretary (CS)
- Minimum 2+ years of relevant experience in compliance, corporate governance, or secretarial functions
- Mandatory Experience: Hands-on experience supporting or managing compliance for an SME IPO listed company for at least 1 year
- Strict Criteria: Candidates with experience only in unlisted companies will not be considered
Key Skills
- Strong knowledge of Companies Act, SEBI regulations, and listing compliances
- Practical exposure to SME IPO processes and post-listing requirements
- Excellent communication, stakeholder management, and coordination skills
- High level of integrity, attention to detail, and confidentiality
- Ability to manage multiple priorities in a fast-paced environment
- Proficiency in compliance documentation, filings, and reporting tools
- Strong analytical and problem-solving mindset
