Role Description & Requirements
- Possess a qualified Company Secretary (ACS/FCS) certification with 7 to 12 years of post-qualification experience in a listed environment.
- Serve as the Key Managerial Personnel (KMP) and primary Compliance Officer under SEBI LODR and Companies Act, 2013.
- Ensure 100% timely submission of all periodic filings (Quarterly Results, Shareholding Pattern, Corporate Governance Report) to NSE/BSE.
- Manage real-time disclosures of material events or price-sensitive information (UPSI) within the mandated 24-hour window.
- Lead the preparation and filing of the Business Responsibility and Sustainability Report (BRSR), ensuring compliance with ESG disclosure norms for top 1000 entities.
- Coordinate with external agencies for BRSR Core assurance and validate ESG data across the company's value chain.
- Organize and facilitate all Board, Committee, and General Meetings, including the drafting of notices and detailed agendas.
- Record and maintain Minutes of Meetings in strict adherence to Secretarial Standards (SS-1 & SS-2).
- Execute all ROC filings (Annual Returns, Financials, and Event-based forms like MGT-14, DIR-12, etc.) on the MCA21 V3 portal.
- Maintain and update all Statutory Registers, including those for directors, members, charges, and related party transactions.
- Oversee Contract Management, including the drafting, vetting, and negotiation of commercial agreements and NDAs.
- Implement and monitor the Code of Conduct for Prevention of Insider Trading (PIT Regulations) and manage the structured digital database (SDD).
- Act as the primary liaison between the company and regulatory bodies like SEBI, ROC, Stock Exchanges, and NSDL/CDSL.
- Manage the end-to-end process of the Annual General Meeting (AGM), including e-voting coordination and shareholder grievance redressal.
- Advise the Board on corporate governance best practices, legal risks, and changing regulatory landscapes.
- Coordinate with Statutory Auditors, Secretarial Auditors, and Legal Counsel for seamless audit completions and litigation management.
- Assist the Finance Department in various Banking activities, including the preparation of Board Resolutions for credit facilities, management of Bank Signatories, and the creation/satisfaction of Charges with the ROC.
- Handle all Investor Queries and grievances promptly, ensuring high standards of stakeholder relationship management.
- Demonstrate detailed knowledge and end-to-end execution of IEPF (Investor Education and Protection Fund) matters, including the transfer of unclaimed dividends and shares, and filing of related forms like IEPF-1 to IEPF-7.
- Should be able to coordinate with lawyers, consultants etc regarding legal matters
- Demonstrate the ability to manage the Secretarial and Compliance function independently with minimal supervision.
