Job Description – Company Secretary & Compliance OfficerFor RBI-approved NBFC

Reporting To: Managing Director / Board of Directors
About the Company
We are an RBI-approved Non-Banking Financial Company (NBFC) engaged in providing financial services with a strong focus on regulatory compliance, governance, and ethical business practices. We are seeking a qualified and experienced Company Secretary & Compliance Officer to oversee corporate secretarial functions and ensure compliance with RBI, Companies Act, and other applicable regulations.
Key Responsibilities
Secretarial & Corporate Governance
Ensure compliance with the provisions of the Companies Act, 2013, Secretarial Standards, and applicable corporate laws.
Organize and manage Board Meetings, Committee Meetings, and Annual General Meetings.
Prepare agendas, notices, resolutions, minutes, and maintain statutory registers and records.
File statutory returns, forms, and disclosures with ROC and other authorities within prescribed timelines.
Advise the Board and management on corporate governance matters and regulatory changes.
RBI & NBFC Compliance
Ensure compliance with RBI regulations applicable to NBFCs, including Master Directions, Fair Practices Code, KYC/AML guidelines, and Prudential Norms.
Coordinate submission of RBI returns, periodic reports, and regulatory filings.
Monitor compliance with FEMA, PMLA, and other financial sector regulations.
Liaise with RBI, auditors, legal advisors, and regulatory authorities during inspections and audits.
Maintain compliance calendar and ensure timely implementation of regulatory updates.
Legal & Compliance Functions
Draft, review, and vet agreements, legal documents, and policies.
Support internal audits, statutory audits, and secretarial audits.
Ensure implementation of internal compliance controls and risk management practices.
Handle shareholder correspondence and investor-related matters.
Assist in due diligence, funding, and corporate restructuring activities as required.
Eligibility Criteria
Qualified Company Secretary (CS) from ICSI.
Membership with ICSI is mandatory.
Minimum 3 years of experience in the NBFC/BFSI sector.
Strong knowledge of RBI regulations, Companies Act, FEMA, SEBI (if applicable), and corporate governance practices.
Required Skills
Excellent drafting and communication skills.
Strong understanding of the NBFC regulatory framework.
Ability to manage multiple compliance deadlines.
Good analytical and problem-solving skills.
Proficiency in MCA, RBI, and compliance filing systems.
