Tropical Agrosystem (India) Private Ltd. is looking to hire a qualified Company Secretary for its Chennai office. The candidate will be responsible for company secretarial compliance, corporate governance, Board and shareholder processes, statutory filings, corporate records, and support in investor / private equity funding related documentation and compliances. The role requires strong knowledge of corporate laws, FEMA / RBI regulations, ROC / MCA compliances and practical coordination with internal teams, external advisors, auditors and other stakeholders.
Key Responsibilities
•Handle Board, Committee, AGM and EGM related compliances, including preparation of notices, agenda, resolutions and minutes.
•Ensure compliance with the Companies Act, 2013, Secretarial Standards and other applicable corporate laws.
•Maintain statutory registers, minute books, shareholder records and other corporate records in an audit-ready manner.
•Handle ROC / MCA filings and event-based statutory compliances.
•Support private equity / fund-raise related due diligence, corporate approvals, share issuance / transfer documentation and closing compliances.
•Support FEMA, RBI and FDI-related compliances in relation to foreign investment, share issuance, share transfer, annual reporting and other applicable regulatory filings.
•Support compliance relating to share capital, allotment, transfer, dematerialisation, stamping and shareholder records.
•Coordinate with external company secretary, auditors, consultants, legal counsel, investors and internal stakeholders.
•Assist in secretarial audit, statutory audit, internal audit and compliance reviews.
•Support related party transactions, CSR, appointment / resignation of directors and KMP, and other corporate governance matters.
Required Skills and Knowledge
•Excellent knowledge of Companies Act, 2013, Secretarial Standards, FEMA, RBI regulations and ROC / MCA compliances.
•Good understanding of corporate laws and regulations, including Depositories Act and SEBI guidelines / regulations, as applicable.
•Practical exposure to private equity funding, investor due diligence, FEMA / RBI compliances and corporate transaction documentation will be preferred.
•Strong drafting, documentation, coordination and follow-up skills.
•Good working knowledge of Excel, PowerPoint and compliance trackers.
Mandatory Requirements
•Qualified Company Secretary from the Institute of Company Secretaries of India.
•4 to 7 years of relevant post-qualification experience.
•Willingness to work from the Chennai office.
•Ability to independently handle core secretarial and compliance responsibilities.
Preferred / Good to Have
•Prior experience in a listed company, large private company, PE-backed company, manufacturing, agri-inputs, chemicals or FMCG sector will be preferred.
•Experience in investor due diligence, private equity funding, foreign investment reporting, share capital matters and corporate governance documentation will be an added advantage.
