Role Description This is a full-time, on-site Company Secretary role based in Bengaluru. The Company Secretary will be responsible for ensuring statutory and regulatory compliance, including maintaining company records, preparing board and shareholder meeting agendas, drafting minutes, and filing required returns with relevant authorities. The role includes advising the leadership team on corporate governance, supporting the board with legal and compliance matters, and coordinating with external legal and regulatory bodies as needed. The Company Secretary will manage documentation related to company policies, resolutions, and contracts, and support secretarial activities for group entities as applicable. Day-to-day responsibilities also involve monitoring changes in corporate laws, implementing governance best practices, and collaborating with finance and leadership teams on matters such as audits, disclosures, and corporate actions.
Qualifications
- Professional qualification as Company Secretary (CS), with valid membership from the Institute of Company Secretaries of India (ICSI).
- Strong knowledge of corporate laws, company law compliance, SEBI and listing regulations (if applicable), and governance frameworks.
- Experience in drafting minutes, resolutions, statutory registers, and handling ROC filings and other regulatory submissions.
- Ability to collaborate with senior leadership, legal advisors, auditors, and cross-functional teams in a structured, detail-oriented manner.
- Excellent written and verbal communication skills, with strong attention to detail and documentation accuracy.
- Proficiency in using MS Office and digital tools for documentation, compliance tracking, and record management.
- Demonstrated integrity, discretion, and ability to manage confidential information responsibly.
- Prior experience in a manufacturing, retail, or lifestyle brand environment is an advantage.
- Bachelor’s degree in Commerce, Law, Business, or related field; additional legal qualifications are a plus.
