Role Description Key Responsibilities:

Corporate Governance & Board Management
* Organising Board, Committee & Shareholders Meetings
* Drafting agenda notes, minutes & resolutions
* Ensuring compliance with Companies Act, Secretarial Standards & RBI requirements
* Maintaining statutory registers & records
β
RBI & NBFC Regulatory Compliance
* Monitoring RBI Master Directions applicable to NBFCs
* Compliance with KYC / AML / PMLA norms
* Monitoring outsourcing guidelines & related party transactions
* Filing RBI returns and regulatory certifications
β
Secretarial & Legal Compliance
* ROC filings & annual compliances
* Annual Report preparation
* Coordination with auditors, legal counsel & regulators
* Ensuring compliance under Companies Act, FEMA & allied laws
β
Compliance Management
* Creating compliance calendars
* Coordinating internal & secretarial audits
* Reporting non-compliances to management & Board
β
Stakeholder Coordination
* Handling investor communications
* Coordination with lenders, trustees & rating agencies
* Supporting RBI inspections & due diligence processes
β
Policy & Documentation Oversight
* Monitoring credit, recovery & related party policies
* Reviewing information security & outsourcing policies

Senior Management Support
* Advising CEO/MD & Board on regulatory matters
* Supporting restructuring, capital raising & governance initiatives
π Required Skills:
* Strong knowledge of RBI regulations, lending operations & governance framework
* Excellent communication & stakeholder management skills
This is a full-time, on-site role for a Company Secretary based in Chennai. The Company Secretary will ensure compliance with regulatory requirements, manage all company records, and maintain effective corporate governance practices. Responsibilities include preparing meeting agendas, drafting and maintaining minutes, managing key legal and statutory filings, supporting board functions, and addressing stakeholder communication. The role involves adhering to industry standards while providing advice related to corporate laws, policies, and compliance requirements.
