Job Summary:
The Company Secretary (CS) ensures that the company complies with legal and regulatory requirements, maintains high standards of corporate governance, and supports the board of directors in fulfilling their responsibilities. The CS plays a key role in the efficient administration of the company, especially with regard to ensuring compliance with statutory and regulatory requirements and implementing decisions made by the board.
Key Responsibilities:
1. Corporate Governance & Board Support
• Organize and prepare agendas and papers for board meetings, committees, and annual general meetings (AGMs)
• Take minutes, draft resolutions, and follow up on actions from meetings
• Advise the board on their duties, corporate governance requirements, and compliance issues
• Maintain statutory registers and records (e.g., register of members, directors)
2. Legal & Regulatory Compliance
• Ensure compliance with Companies Act, SEBI regulations (for listed companies), FEMA, and other applicable laws
• File necessary forms and returns with Registrar of Companies (ROC), stock exchanges, and other regulators
• Liaise with external regulators and advisers, such as lawyers and auditors
3. Secretarial Duties
• Draft and review legal documents, contracts, MOA/AOA amendments
• Manage share transfers, issuance of share certificates, and dividend distribution
• Maintain updated records related to shareholding patterns and beneficial ownership
4. Advisory Role
• Advise on corporate restructuring, mergers, acquisitions, and joint ventures
• Ensure compliance with secretarial standards and best practices
• Act as a liaison between the board and management
5. Risk Management & Ethics
• Monitor potential legal and governance risks and advise on mitigation
• Support whistleblower policies, ethics codes, and conflict of interest disclosures
Qualifications:
• Member of the Institute of Company Secretaries of [India/Relevant Country] (ICSI or equivalent)
• Bachelor's degree in Law, Commerce, or related field (LLB preferred)
• 2+ years of experience in corporate secretarial or legal functions (as per seniority level)
Key Skills:
• Deep understanding of corporate law and governance frameworks
• Strong organizational, communication, and drafting skills
• Integrity and discretion when handling confidential information
• Proficient in MS Office, compliance software, and ROC portals
