JOB DESCRIPTION – COMPANY SECRETARY

Key responsibilities include: -
• Strong knowledge of corporate law, corporate governance practices, securities regulations.
• Work closely with the colleagues from the Company Secretary department as well as from other functions to identify the compliance requirement and collect details required for compliances under corporate law, FEMA Compliances, securities regulations, and industry-specific compliance requirements.
• The role will also include assisting corporate transactions such as mergers and acquisitions (M&A), public disclosures, shareholder meetings, and other legal activities to ensure the company’s governance structures and operations remain efficient and fully compliant with regulatory frameworks.
• Ensure timely filing of documents with regulatory bodies for compliance with securities laws, FEMA compliances and stock exchange requirements.
• Support the preparation, coordination, and maintenance of all board meeting agendas, minutes, resolutions, and corporate records, ensuring that all activities are documented and compliant with the law.
• Support the preparation and filing of periodic financial reports, shareholder communications, and other public disclosures in compliance with the relevant securities laws and stock exchange regulations.
Desirable Qualifications: -
• Qualified Company Secretary (CS) from Institute of Company Secretaries of India
• Membership with ICSI is mandatory
• Strong knowledge of corporate laws and regulations
• Excellent drafting and communication skills
• High attention to detail and organizational skills
• Ability to handle confidential information with integrity
• Good stakeholder management and coordination skills
• 5–10 years of relevant experience in secretarial and compliance functions
• Experience in listed company compliance is an added advantage
