Role Description This is a full-time, on-site Company Secretary role located in Mumbai. The Company Secretary will manage statutory and regulatory compliance, including maintaining company records, preparing and filing necessary returns, and ensuring adherence to corporate laws and regulations. Responsibilities include drafting and reviewing board and shareholder meeting notices, agendas, minutes, and resolutions, and coordinating with directors and stakeholders on governance matters. The role will involve managing ROC and other regulatory filings, supporting corporate restructuring or transactions, and advising on company law and related compliance requirements. The Company Secretary will also liaise with external advisors, monitor changes in relevant legislation, and support internal processes to strengthen corporate governance.
Qualifications
- Professional qualification as Company Secretary (CS) from the Institute of Company Secretaries of India; additional degrees in law, commerce, or business are an advantage.
- Strong knowledge of Companies Act, SEBI regulations (if applicable), and other relevant corporate and regulatory frameworks.
- Proficiency in drafting minutes, resolutions, statutory documents, and correspondence, with excellent written and verbal communication skills.
- Experience in handling statutory filings, maintaining secretarial records, and coordinating with regulatory authorities.
- Ability to interpret laws and regulations, provide clear guidance to clients or internal stakeholders, and support decision-making on compliance issues.
- Detail-oriented, organized, and able to manage multiple assignments and deadlines in a fast-paced professional environment.
- Comfort with digital tools and compliance software for documentation, filing, and data management.
- Prior experience in a corporate secretarial or professional services firm is preferred, though motivated early-career professionals with relevant qualifications are also encouraged to apply.
