Experience: Minimum 2 to 4 years of relevant post-qualification experience
Role Overview:
The Company Secretary (CS) is a key position and a vital building block of the organization. The role ensures strong corporate governance, statutory compliance, and ethical business practices in line with applicable laws and regulations. The CS acts as a trusted advisor to the Board of Directors and senior management.
Key Roles & Responsibilities:
Corporate Governance & Board Support:
• Coordinate and liaise with Chairperson, Board, Top Management, Shareholders, Stakeholders, RTA, Stock Exchanges, and regulators.
• Advise the Board and management on corporate governance, risk management, and compliance.
• Guide Directors on corporate governance principles.
Meetings & Secretarial Functions:
• Prepare agendas, notices, papers, and resolutions for Board, Committee, and General Meetings.
• Convene meetings, record minutes, and ensure statutory filings.
• Follow up on action points.
Statutory & ROC Compliance:
• Handle ROC compliance and e-filing under Companies Act, 2013.
• Manage incorporation, share capital, statutory registers, and annual returns.
• Ensure timely filings and disclosures.
Income Tax & Other Laws:
• Ensure TDS deduction, filing, and compliance.
• Comply with FEMA, Labour Laws, Depositories Act, Competition Laws, Environmental Laws, etc.
Legal & Compliance:
• Draft, review, and manage contracts, agreements, and legal documents.
• Liaise with auditors, lawyers, and regulators.
• Advise departments on legal risks.
Shareholder & Corporate Actions:
• Manage dividends, interest payments, share option schemes.
• Support mergers, acquisitions, and restructuring.
Professional Ethics:
• Maintain confidentiality and comply with ICSI standards.
• Act within statutory powers and responsibilities.
