Role Overview
The Company Secretary will support corporate governance, regulatory compliance, and secretarial functions of the organization. This is an execution-focused role suited for a recently qualified or early-career CS professional looking to build hands-on experience in a regulated industry environment.
Key Responsibilities
1. Secretarial Compliance
- Assist in ensuring compliance with the Companies Act, 2013 and other applicable regulations
- Support preparation and filing of statutory forms, returns, and disclosures with Ministry of Corporate Affairs
- Maintain statutory registers, records, and minutes as per legal requirements
2. Board & Committee Support
- Assist in organizing Board Meetings, Committee Meetings, and General Meetings
- Prepare agendas, notices, minutes, and resolutions
- Ensure timely circulation of documents and follow-ups on action items
3. Regulatory Filings & Documentation
- Support timely filings with Registrar of Companies (ROC)
- Maintain documentation related to shareholding, directorships, and corporate structure
- Assist in compliance with FEMA regulations (if applicable for international operations)
4. Corporate Governance
- Support implementation of corporate governance practices and internal policies
- Assist in monitoring compliance calendars and regulatory updates
- Coordinate with internal stakeholders and external consultants for compliance matters
5. Audit & Due Diligence Support
- Assist during secretarial audits and internal/external audits
- Compile and organize documents required for due diligence, inspections, or investor requirements
- Track and close compliance-related observations
Key Requirements
- Qualified Company Secretary (Member of Institute of Company Secretaries of India (ICSI))
- 0–2 years of experience (including articleship/training experience)
- Strong understanding of Companies Act and basic corporate laws
- Good drafting and documentation skills
- High attention to detail and strong organizational ability
- Proficiency in MS Office and familiarity with MCA portal filings
Preferred Profile
- Exposure to pharma, manufacturing, or regulated industries (internship/training level is acceptable)
- Basic understanding of corporate governance and compliance frameworks
- Ability to manage timelines and work with multiple stakeholders
