Role Description
This is a full-time, on-site role based in Bengaluru for a Company Secretary. We are seeking a Company Secretary with up to 2 years of post-qualification experience to support our mechanical and infrastructure EPC operations. The role involves ensuring end-to-end statutory and secretarial compliance under the Companies Act, 2013 and assisting the finance team in preparing management MIS and statutory reporting. The candidate will act as a key link between the management, auditors, and statutory authorities, and contribute to governance and documentation discipline.
Key Responsibilities:
A. Secretarial & Statutory Compliance—20%
● Ensure compliance with the Companies Act, 2013, FEMA, and related corporate governance norms.
● Prepare and file all statutory returns and forms with the Registrar of Companies (ROC), MCA, and other regulators.
● Draft and maintain Board resolutions, minutes of Board / Committee / General Meetings, and statutory registers.
● Support in drafting Agreements, Power of Attorneys, NDAs, and company policies.
● Assist in maintaining entity-level documentation across multiple company units / SPVs.
● Liaise with auditors, advocates, consultants, and government departments.
● Track BG, loan, and charge creation with ROC and CERSAI
B. MIS & Governance Support—80%
● Budget v/s Actual, Business Plan tracking.
● Prepare and analyse weekly/monthly MIS covering project-wise financials, receivables, bank guarantees, and compliance trackers.
● Maintain statutory MIS for PF, ESI, GST, Income Tax, and company law filings.
● Assist CFO in compiling data for Board review packs, due diligence, and investor presentations.
● Support in developing SOPs and internal controls aligned with governance and IPO-readiness framework.
Qualifications & Skills:
● Education: Company Secretary (CS) – qualified..
● Experience: 0–2 years.
● Technical Skills:
o Proficiency in MS Excel, Word, and ERP systems.
o Good understanding of ROC filings, Board documentation, and statutory reporting formats.
● Behavioural Skills:
o Strong written and verbal communication skills.
o Attention to detail, confidentiality, and professional ethics.
o Ability to coordinate across multiple sites and departments.
