Role- Company Secretary
Role Definition
The Company Secretary is responsible for managing corporate governance, regulatory compliance, and statutory requirements of the organization. The role involves conducting board and committee meetings, handling ROC, SEBI, BSE/NSE compliances, and ensuring timely filings and documentation. The CS also supports legal documentation, coordination with regulatory authorities, and provides compliance guidance while ensuring adherence to applicable laws and corporate standards.

Tasks & Activities 1. Board, Committee & General Meeting Management
• Conduct Board Meetings, Committee Meetings, AGM, and EGM for listed entities
• Draft notices, agendas, and resolutions for meetings
• Prepare and maintain minutes of meetings as per statutory requirements
• Ensure proper documentation and maintenance of Minutes Books
• Support compliance with corporate governance norms during meetings
Regulatory Compliance & Filings
• Ensure timely filing of returns and forms with ROC, SEBI, BSE, and NSE
• Handle all ROC compliances and statutory filings
• Prepare and file annual returns and other compliance-related documents
• Monitor compliance status and ensure adherence to regulatory timelines
• Stay updated with amendments in Companies Act, SEBI regulations, and other applicable laws
SEBI & Stock Exchange Coordination
• Coordinate with SEBI and stock exchanges for quarterly and event-based compliances
• Obtain in-principal approvals and handle listing-related requirements
• Analyse SEBI circulars and prepare impact analysis reports
• Ensure compliance with listing obligations and disclosure requirements
• Respond to regulatory queries and maintain communication with authorities
Legal Documentation & Corporate Actions
• Draft and review legal documents, agreements, and corporate records
• Handle company incorporation and related documentation
• Manage share-related matters including demat, transfers, and holdings
• Support corporate actions and maintain statutory registers
• Ensure proper documentation for merchant banking and compliance activities
Compliance Monitoring, Audit & Reporting
• Monitor compliances submitted by companies and ensure corrective actions
• Handle inspections and prepare responses to intermediaries and regulators
• Maintain compliance records, reports, and audit trails
• Assist in preparation of Annual Reports and disclosures
• Ensure readiness for internal and external compliance audits
Training, Coordination & Advisory Support
• Provide compliance training to employees and interns
• Coordinate with internal teams for regulatory and secretarial matters
• Support management with compliance updates and advisory inputs
• Ensure effective communication across departments for compliance execution
• Promote awareness of governance practices and regulatory requirements
Education Graduate in any stream with valid CS Membership Number.
Experience 2-5 years
Stipend/ CTC Range As per Industry standards

• Ensure timely submission of quarterly and event-based compliances.
• Prepare SEBI circular impact analysis reports within defined timelines.
• Resolve regulatory queries and approvals within stipulated deadlines.
4. Legal Documentation & Compliance Monitoring (Skills / Time)
• Draft and maintain accurate legal documents, agreements, and statutory registers.
• Ensure timely handling of inspections and regulatory responses.
• Maintain complete compliance records and audit readiness at all times.
5. Reporting, Audit & Documentation (Skills / Approach)
• Prepare annual reports, disclosures, and compliance documentation within deadlines.
• Maintain organized audit trails and documentation with high accuracy.
• Support internal and external audits with zero major observations.
6. Training, Coordination & Professional Conduct (Attitude / Approach)
• Conduct periodic compliance training sessions for employees/interns.
• Ensure effective coordination with internal teams and stakeholders.
• Demonstrate proactive updates on regulatory changes and governance practices.
