Role Summary
The Company Secretary will be responsible for ensuring the organization’s compliance with regulatory, statutory, and corporate governance requirements, with a strong focus on IRDAI regulations applicable to the General Insurance sector. The role involves advising the Board of Directors, managing secretarial functions, and ensuring adherence to legal and compliance frameworks. The ideal candidate will bring deep regulatory expertise, strong analytical ability, and excellent communication skills.
Key Responsibilities
1. Regulatory & Compliance Management
- Ensure compliance with all applicable Insurance Regulatory and Development Authority of India (IRDAI) rules and regulations
- Monitor changes in IRDAI guidelines and implement necessary actions
- Liaise with regulatory authorities for filings, approvals, and clarifications
- Maintain statutory registers, records, and filings as per legal requirements
2. Corporate Governance & Board Management
- Organize Board Meetings, Committee Meetings, and Annual General Meetings (AGMs)
- Prepare agenda, board notes, minutes, and resolutions
- Advise the Board and senior management on corporate governance best practices
- Ensure proper documentation and compliance with Companies Act and governance standards
3. Secretarial & Legal Functions
- Manage all secretarial compliances including ROC filings and disclosures
- Ensure timely submission of statutory reports and returns
- Coordinate with legal advisors on corporate legal matters
- Maintain company records, policies, and governance frameworks
4. Reporting & Presentation
- Prepare high-quality PowerPoint presentations, compliance reports, and board materials
- Present regulatory updates and compliance status to senior leadership
- Develop dashboards and MIS for compliance tracking
5. Technology & Systems Management
- Utilize digital systems for compliance tracking and documentation
- Leverage AI tools for reporting, analysis, and process improvements
- Ensure proper maintenance of compliance management systems
6. Stakeholder & Regulatory Liaison
- Act as a key point of contact between the company and regulatory authorities
- Coordinate with auditors, consultants, and external stakeholders
- Support internal departments in compliance-related matters
7. Travel & Business Support
- Travel as required for regulatory meetings, audits, and business requirements
- Support senior leadership in strategic and compliance-related initiatives
Key Requirements
- Qualified Company Secretary (CS) with membership of Institute of Company Secretaries of India
- Minimum 15 years of experience, preferably in General Insurance sector
- In-depth knowledge of IRDAI rules, regulations, and compliance frameworks
- Strong understanding of corporate laws, Companies Act, and governance practices
- Expertise in MS Office (Excel, PowerPoint, Word) and presentation skills
- Hands-on experience with AI tools and compliance systems
- Excellent communication, drafting, and interpersonal skills
- High level of integrity, confidentiality, and attention to detail
- Willingness to travel as per business requirements
