Job Title: Company Secretary (CS)

About the Role
We are a fast-growing Fintech organization operating in the NBFC space. We are looking for a proactive
and hands-on Company Secretary who can manage end-to-end secretarial, compliance, and governance
responsibilities in a dynamic startup environment. The role demands strong regulatory knowledge,
ownership mindset, and the ability to work closely with founders, legal, finance, and compliance teams.
Key Responsibilities
Secretarial & Corporate Governance
• Ensure compliance with Companies Act, 2013, MCA, SEBI (if applicable), and RBI regulations
relevant to NBFCs.
• Draft, review, and maintain Board Meeting & AGM notices, agendas, minutes, and resolutions.
• Manage statutory registers, records, and filings with MCA, ROC, and other regulators.
• Support corporate governance frameworks suitable for a high-growth startup.
Regulatory & NBFC Compliance
• Handle RBI-related compliances applicable to NBFCs and Fintech entities.
• Coordinate with compliance, legal, and finance teams for timely regulatory filings and disclosures.
• Track changes in laws, RBI circulars, and regulatory guidelines impacting Fintech/NBFC operations.
Startup & Fundraising Support
• Assist in fundraising activities, investor documentation, due diligence, and compliance support.
• Draft and vet shareholder agreements, ESOP documentation, share allotment, and cap table
management.
• Support structuring of new entities, subsidiaries, or group companies as the business scales.
Legal & Documentation
• Liaise with external legal counsels, auditors, and consultants.
• Review legal documents, contracts, and agreements from a compliance and governance
perspective.
• Support audits, inspections, and regulatory reviews.
Internal Coordination
• Work closely with founders, leadership team, HR, finance, and compliance functions.
• Drive a compliance-first culture while balancing speed and agility required in startups.
Required Skills & Qualifications
• Qualified Company Secretary (ICSI Member).
• 6–8 years of relevant experience, preferably in Fintech, NBFC, or Financial Services.
• Strong knowledge of Companies Act, RBI regulations, NBFC compliances, and corporate laws.
• Experience in startup environments, fundraising, ESOPs, and investor interactions is highly
preferred.
• Strong drafting, communication, and stakeholder management skills.
• Ability to work independently, manage multiple priorities, and adapt to a fast-paced setup.
