Role Description The Company Secretary will be responsible for ensuring statutory and regulatory compliance, maintaining statutory registers and records, and preparing and filing necessary forms and returns with relevant authorities. The role involves filing for GST Registrations, TDS registstrations, ROC filings and other secretarial documents. The Company Secretary will draft and review corporate documents, policies, and resolutions, and coordinate with regulators, and other stakeholders as needed. The role also includes advising on corporate governance practices, monitoring changes in relevant laws, and implementing compliance processes and controls. This is a full-time, on-site role based in Kolkata, requiring regular interaction with senior management and various internal teams.
Qualifications
- Recognized qualification as Company Secretary, with a strong understanding of corporate law, SEBI regulations (if applicable), and related compliance requirements.
- Ability to formalise and do the ROC filings and GST and TDS registrations for new set up's.
- Experience in organizing board and general meetings, drafting minutes and resolutions, and maintaining statutory registers and records is a plus.
- Proficiency in drafting and reviewing legal and corporate documents, policies, and filings with MCA and other regulatory authorities.
- Strong communication, documentation, and stakeholder management skills, with the ability to work closely with senior leadership and cross-functional teams.
- Ability to interpret regulatory changes, implement control frameworks, and support assurance and audit functions within the organization.
- High level of integrity, attention to detail, and ability to manage multiple deadlines in a fast-paced professional services environment.
- Comfort with office productivity tools (e.g., MS Office, compliance and secretarial software) and willingness to adopt new technologies.
- Prior experience in a professional services or assurance focused firm is an advantage; familiarity with listed or large private company environments is beneficial.
