ELCOT promotes IT investment in the state, builds technology infrastructure such as IT Parks and data centres, leads large-scale IT procurement for Government, and supports emerging technology sectors including AI and AVGC-XR.
Role Description
The Assistant Vice President – Company Secretarial & Corporate Governance (Company Secretary) is a full-time, on-site contract role based in Chennai. The role leads ELCOT's company secretarial, Board governance, and corporate compliance functions, ensuring timely, accurate, and confidential coordination of statutory, Board, Government-company, JV/associate-company, and SPV matters. Day-to-day responsibilities include planning and coordinating Board and Committee meetings (notices, agenda papers, resolutions, minutes), maintaining statutory registers and compliance calendars, filing returns with the MCA/ROC, coordinating governance for joint ventures, associate companies, and SPVs, and preparing drafts of Board communications, Government correspondence, and compliance reports. The role also tracks litigation and legal matters from a governance perspective in consultation with legal counsel, and coordinates with Government departments, auditors, and external advisers on secretarial matters.
Qualifications
- Graduate degree in any discipline; Associate or Fellow Member (ACS/FCS) of the Institute of Company Secretaries of India, with valid membership
- LLB or postgraduate qualification in Law, Commerce, Finance, or Business Administration is desirable, along with certification or structured training in corporate governance, compliance, or risk
- 7–15 years of post-qualification experience in company secretarial, corporate governance, and statutory compliance functions, including at least 3 years independently managing Board/Committee processes, statutory filings, and governance compliance
- Experience in a Government company, PSU, or large organisation with multiple subsidiaries/JVs/SPVs is desirable, as is experience coordinating with senior management, regulators, auditors, and legal advisers
- Strong drafting, documentation, analytical, and issue-tracking skills, with sound judgement, discretion, and the ability to work independently under strict timelines.
