Over more than Four decades of service in the field of water and wastewater treatment, the company has successfully supplied and executed plants across India . Presently executing projects for MCGM , PCMC and others using latest MBR , MBBR , SBR , UF based STP and high capacity pumping stations projects . In order to meet large Water and Sanitation challenges of India through NMCG, Amrut 2.0 , Swattch Bharat and Jal Jeevan Mission , GEL is expanding its reach across India and looking for experienced experts to partner with GEL for its success story.
As of today, Gondwana has implemented:
- 120+ Water Treatment Plants, Treating over 2000 MLD of water per day
- 20+ Sewage Treatment Plants. Processing over 200 MLD of sewage per day across the country
Role Overview
The CS – Legal will be responsible for managing the company’s secretarial, legal, and compliance functions while ensuring adherence to corporate governance standards and applicable regulatory frameworks.
The role involves close coordination with the Board of Directors, senior management, regulatory authorities, external legal counsel, auditors, and stakeholders to ensure seamless legal and statutory compliance across the organization.
Experience & Qualification
- Qualified Company Secretary (Member of the Institute of Company Secretaries of India – ICSI) with valid membership in good standing
- Bachelor’s / Master’s Degree In law will be preferred.
- 2 to 5 years of post-qualification experience in secretarial, legal, or compliance functions within a corporate environment
- Strong knowledge of Indian corporate laws, including the Companies Act, 2013, corporate governance norms, and statutory compliance requirements
- Preferable familiarity with SEBI, FEMA, labour laws, environmental regulations, and other applicable regulatory frameworks
- Excellent drafting, negotiation, and communication skills
- Strong analytical, compliance management, and risk assessment abilities
- High level of confidentiality, integrity, and professional ethics
Key Responsibilities
1. Secretarial & Governance
- Convene and coordinate Board Meetings, Committee Meetings, and General Meetings
- Prepare agendas, board packs, resolutions, minutes, and follow-up actions
- Maintain statutory registers and records including directors, shareholders, and charges
- Ensure timely filing of statutory returns and compliance documents with ROC/MCA and other authorities
- Ensure compliance with corporate governance norms and Secretarial Standards
- Maintain transparency and adherence to statutory and regulatory requirements
2. Legal & Compliance Advisory
- Provide legal support and advisory services on corporate law, governance, compliance, and risk management matters
- Serve as internal legal counsel to the Board and Management
- Draft, review, negotiate, and manage commercial agreements, vendor/customer contracts, partnership agreements, and corporate legal documents
- Handle legal documentation related to mergers, acquisitions, restructuring, capital raising, and corporate actions
- Conduct legal due diligence and oversee regulatory compliance related to corporate transactions
- Coordinate with external legal counsel, regulators, and authorities for litigation, approvals, and dispute resolution matters
3. Strategic & Advisory Role
- Guide the Board and Senior Management on legal and regulatory best practices
- Interpret laws and regulatory changes and translate them into actionable compliance measures
- Facilitate corporate actions such as share transfers, buybacks, restructuring, and shareholder communications
- Ensure ethical governance practices and safeguard company interests through robust legal oversight
4. Miscellaneous / Other Legal Matters
- Monitor compliance with labour laws, environmental regulations, FEMA, SEBI provisions, tax/TDS compliance, and sector-specific regulations as applicable
- Liaise with statutory authorities, regulators, auditors, and stakeholders as required
- Handle legal notices, disputes, compliance audits, and regulatory queries
- Undertake additional legal and secretarial assignments as directed by the Board or Management
