1. Role Overview
This role well‑rounded CS & Law professional who can independently manage secretarial compliances for multiple entities within the hospitality (restaurant / F&B) business and provide legal support on contracts, financing documents, and corporate governance. The candidate must be detail‑oriented, disciplined, and comfortable working in a fast‑paced, multi‑entity environment.
2. Key Responsibilities
A. Company Secretarial (Primary Responsibility)
- Manage end‑to‑end secretarial compliance for the entities coming under the brand in Hospitality business ie. subsidiaries, JVs, holding company etc.
- Draft, prepare, and maintain:
- Board meeting notices, agendas, minutes
- General meeting notices & resolutions
- Statutory registers, returns, disclosures
- Ensure compliance under the Companies Act, 2013 and related rules.
- Handle annual filings and event based returns like AOC‑4, MGT‑7, DIR‑3 KYC, ADT‑1, MSME returns, PAS‑6 etc.0 for all entities.
- Coordinate with auditors, directors, and internal teams for statutory matters.
- Support new entity formation, share allotments, share transfers, restructuring and other corporate actions.
B. Legal (Contracts & Corporate Legal Support)
- Draft, review, and negotiate:
- Commercial agreements (vendor, supplier, AMC, consultancy, franchise, licensing, etc.)
- Restaurant‑related contracts (F&B vendor agreements, equipment purchase, rental/lease agreements).
- Loan agreements, security documents, hypothecation agreements.
- Shareholders’ Agreements (SHA), Share Subscription Agreements (SSA), and other investment‑related documentation.
- Ensure business contracts comply with internal policy, legal requirements, and industry standards.
- Maintain a central contract repository, track renewals & expiries.
- Provide day‑to‑day legal advisory to business teams, especially operations, HR, and finance.
3. Skills & Competencies
- Strong knowledge of:
- Companies Act, 2013
- F&B industry‑specific compliances (preferred)
- FEMA basics, stamp duty, contract law
- Hands‑on experience with ROC filings on MCA V3 portal.
- Excellent drafting skills—contracts, minutes, resolutions.
- Ability to multitask across multiple entities.
- Strong communication & stakeholder‑management skills.
- High integrity, ownership, and confidentiality.
4. Ideal Candidate Profile
- 2–3 years combined experience in CS + Legal roles, preferably in corporate houses with multi‑entity structures.
- Exposure to hospitality, retail, FMCG, or consumer‑facing sectors is a plus.
- Capable of working independently with minimal supervision.
- Comfortable interacting with senior management, auditors, and external counsel.
