The ASIC Compliance Manager is responsible for overseeing and managing all Australian Securities and Investments Commission (ASIC) compliance obligations for the firm's clients. The role ensures that all statutory requirements are met accurately and on time while maintaining compliance with the Corporations Act 2001 and ASIC regulations. The position also involves managing a team, improving compliance processes, maintaining corporate records, and providing technical support to internal staff and clients.
Responsibilities
ASIC Compliance Management
- Manage the end-to-end ASIC compliance function for a portfolio of clients.
- Ensure all ASIC annual review obligations are completed within statutory deadlines.
- Prepare and lodge ASIC forms, including but not limited to:
- Form 484 – Changes to company details
- Form 370 – Resignation of officeholders
- Form 362 – Notification by a registered agent
- Company deregistration
- Company incorporations
- Share allotments, transfers and restructures
- Maintain accurate company registers and statutory records.
- Review and update company constitutions and corporate records where required.
- Monitor ASIC deadlines and implement procedures to minimise late lodgement penalties.
Corporate Secretarial Services
- Prepare company resolutions and minutes.
- Prepare shareholder and director resolutions.
- Assist with company incorporations and business structure changes.
- Manage trust and company record maintenance.
- Coordinate execution of corporate documents.
Team Management
- Supervise and mentor the ASIC compliance team.
- Allocate work and monitor workflow.
- Review work prepared by team members.
- Conduct training and provide technical guidance.
- Develop standard operating procedures and checklists.
Client Management
- Act as the primary contact for ASIC-related client queries.
- Liaise with clients, solicitors, accountants and financial advisers.
- Explain compliance requirements and statutory obligations in a clear and practical manner.
- Build and maintain strong client relationships.
Quality & Risk Management
- Ensure compliance with ASIC regulations and the Corporations Act.
- Review compliance processes and identify opportunities for improvement.
- Maintain high standards of accuracy and confidentiality.
- Assist with internal compliance reviews and audits.
- Ensure appropriate document retention and record management.
Systems & Process Improvement
- Manage ASIC software platforms such as CAS 360, NowInfinity, Class Super (where applicable), BGL or similar corporate compliance software.
- Improve workflow efficiencies through automation and standardisation.
- Maintain internal compliance calendars and reporting dashboards.
- Set up of Trust
- Applying for ABN. TFN etc
- Preparing various type of Trust and company minutes of meeting
Qualifications
Essential
- Minimum 5 years' experience in ASIC corporate compliance or corporate secretarial services.
- Strong knowledge of the Corporations Act 2001 and ASIC requirements.
- Experience using CAS 360, NowInfinity or similar ASIC compliance software.
- Excellent attention to detail.
- Strong organisational and time management skills.
- Ability to manage multiple deadlines.
- Strong written and verbal communication skills.
- Advanced Microsoft Office skills.
Desirable
- Experience in an accounting or professional services firm.
- Leadership or team management experience.
- Knowledge of trust and business structure administration.
- Experience with Xero Practice Manager, Karbon or other practice management software.

Qualifications
- Diploma or Bachelor's degree in Accounting, Business, Commerce, Law or a related discipline.
- RG 146 or Governance Institute qualifications (desirable but not essential).
- Ongoing professional development in ASIC compliance and corporate governance.
