Corporate Counsel

Applied Optoelectronics, Inc., located in Sugar Land, Texas (job site), is seeking a full-time Corporate Counsel with a Master of Law degree or Juris Doctor (J.D.) degree and 2 years related work experience. Job duties include reviewing and drafting contracts, conducting legal research on relevant laws, regulations, and precedents, participating in dispute resolution before an arbitration tribunal, assisting in corporate governance, including board meetings and materials, conducting legal due diligence and providing strategic counseling for mergers and acquisition transactions, drafting and submitting filings to government regulatory agencies, providing legal advice on commercial transactions and investments, providing legal advice on convertible note and capital raisings, and providing proactive legal advice on possible legal disputes.
