In capital markets accounting advisory services at PwC, you will focus on providing strategic guidance on a broad range of technical accounting, financial reporting, transaction structures and capital markets topics. You will advise clients on complex accounting advisory and financial reporting issues around deals (both public and private) and other transformational business events that may impact an organisation’s value.

About The Team
The Capital Markets, Accounting Advisory and Structuring (CMAS) team advises clients on accounting, company law and capital markets matters across both transactions (including M&A, listings, and debt raises) and business-as-usual scenarios (including finance transformation, accounting and regulatory change, and internal restructures).
Our multidisciplinary team brings deep technical expertise and broad market experience across a wide range of industries. We support senior clients as they navigate an increasingly complex and rapidly changing environment, helping them design solutions that meet commercial objectives while addressing regulatory, accounting, and capital markets requirements. In Deals, we provide strategic guidance across mergers and acquisitions, divestitures, restructurings and transformational business events, helping clients navigate complex transactions and maximise value. We advise multi‑national, publicly‑traded companies and private equity firms on a broad range of technical accounting, financial reporting and capital markets topics, including IPOs, debt offerings, private placements and post‑deal accounting.
Our Deals and CMAS teams are based in UK and Kolkata and you will be in a location with Deals Financial Due Diligence teams based in India, as well as the CMAS team in Kolkata.
The role
We are a team of specialists, and your role in CMAS as a Senior Manager will involve applying technical expertise to solve problems and advise clients as they navigate changes in their business.
You will work in dynamic teams directly for senior stakeholders at a range of clients across industry sectors (including energy, technology, financial services, and retail/consumer) in the UK and around the world. We are a solution-oriented business within the Deals Line of Service, working alongside other parts of the firm (such as M&A Tax) and other professional advisors to provide technical expertise on accounting, structuring, and capital markets considerations across the CMAS business.
We deliver our projects working in small teams with a flat structure, owning planning, budgeting and execution across multiple workstreams, meaning you will work closely with partners and directors in CMAS and other areas of PwC, whilst leading, managing, and coaching junior colleagues.
Your Responsibilities Will Include
- Leading a variety of accounting advisory engagements;
- Reviewing and drafting technical accounting memorandums, reports and presentations.
- Leading discussions with clients and other advisors, covering complex accounting issues;
- Taking ownership for project planning, budgeting, execution and successful completion, including risk management and quality control;
- If required, coordinating the input of PwC teams from different lines of service and territories to deliver transactions;
- Collaborating with senior company management teams and other advisers in the UK, North America, Europe and more widely;
- Advising on accounting aspects of transformational events including IPOs and other equity offerings, debt offerings and private placements, acquisitions and alliances, post-deal accounting, restructurings, restatements and bankruptcies, and, GAAP conversions (including IFRS–US GAAP considerations);
- Coaching and developing teams (primarily based in India), using review as a learning opportunity, mentoring high performers, and addressing conflicts constructively with clients and stakeholders; and
- Upholding professional and technical standards, the Firm’s code of conduct, and independence requirements.
Essential
Skills and experience
- Must possess an ACA Qualification (or an international equivalent).
- Intellectual agility and ability to apply a problem-solving mindset to solve client problems.
- Proven technical accounting experience advising clients on complex accounting topics including: IFRS 15, IFRS 16, IFRS 3, IFRS 5, IFRS 9, IFRS 10 (and preferably UK GAAP).
- Strong oral and written communication skills and the ability to prepare and review high quality technical accounting memos / reports.
- A strong commercial mindset, grasping business issues quickly and demonstrating the ability to add value to our customers.
- Strong project management skills with the ability to manage time, prioritise time-sensitive projects and successfully collaborate with internal and external stakeholder groups to manage them through transformational events.
- Demonstrated experience in coaching teams
- Commitment to upholding professional standards and independence requirements, and to leading with integrity and authenticity.
- Strong communication skills and experience in client discussions on complex accounting areas.
Desired
- Experience of providing clients with advice and support on practical business issues. Including acquisitions, alliances, post‑deal accounting, restructurings, restatements, bankruptcies and GAAP conversions (e.g. to IFRS and US GAAP).
- Experience in ChatGBT, AI tools, Alteryx, Power Query, Power BI, or similar data analysis tools.
- Experience with US GAAP is an advantage for accounting advisory aspects on cross‑border transactions.
- Experience in accounting diligence.
- Comfortable with technology-driven problem-solving in accounting.
- Agility in learning and mastering new tools and accounting technologies on the job.
- Experience managing and mentoring junior staff.
